Ownership & authority

Share classes

Ordinary shares are the active economic-interest positions currently available at Dutch Inc Platforms. Each position is documented through a signed and printed investment agreement between the investor and the company — no position is recognized from a verbal promise, chat message, or payment alone.

Preference is a reserved share class for future use. No preference shares have been issued to date. This category is set aside for potential future investment rounds, structures, or investor terms, and will be documented separately with its own agreed rights and terms if and when it is activated.

Position status
ValidIn force

A position is valid when it is documented by a signed and printed investment agreement between the investor, Dutch Inc Platforms, and TemitOfficial, and reflects the current, in-force terms of that agreement. No ownership or economic position is recognized solely from a verbal promise, chat message, or payment without the required documentation. Any document not signed by TemitOfficial is not considered at all, regardless of any other signatures it carries.

ExpiringTime-limited

“Expiring” applies in three ways. First, once issued, a share position expires yearly and must be renewed or reconfirmed, unless the specific investment agreement states otherwise. Second, the dollar-per-percent offer terms shown under Ordinary Shares apply to the current investment round only — future rounds may use different terms or valuations. Third, an individual investor’s signed position can itself expire or lapse according to the specific terms set out in that investor’s own agreement.

Current ownership

Unless a signed agreement clearly states otherwise, TemitOfficial (Ikomi Tina Henry) owns 100% of shares throughout Temit LLC and its entire ecosystem, including Dutch Inc Platforms, as of September 27, 2026. Investment is optional and does not automatically transfer ownership, voting rights, or decision-making authority. Any product-level participation must be properly documented before it becomes effective.

Optional member investment

Any eligible member, including a member who also works with or supports the company, may choose to invest personal funds. No member is required to invest, and investment is kept separate from work or advisory services. Investment is subject to available allocation, and a signed and printed agreement is made for every investment.

Retention & reinvestment

Any portion not allocated to a member remains with TemitOfficial, who may retain an unallocated position, reinvest additional personal funds into an available position, or claim, retain, or increase a position while the applicable allocation remains available. Future investment rounds may use different terms or valuations, and future fundraising, restructuring, dilution, or corporate actions may affect positions where legally applicable.

Work, advisory & investment are separate

  • Work compensation = pay for services
  • Advisory/leadership compensation = pay for advisory or leadership responsibilities
  • Investment = a voluntary contribution documented by an investment agreement

A member does not receive an investment position merely because they perform development, technical, advisory, operational, or marketing work, and there is no automatic profit entitlement solely because someone is a member or contributor.

Small company rules
  • Company funds are not treated as personal funds
  • No member may commit the company to an obligation without authorization
  • Accounts, credentials, API keys and customer data are protected
  • Material business or security issues are communicated promptly
  • No member may claim an ownership position unless formally documented
  • Investment, compensation and company expenses stay clearly separated
  • Major changes to ownership or structure must be approved and documented

Profit & future value

Dutch Inc Platforms is a private company and does not disclose its revenue. Dutch Inc Platforms has not yet started making profit. Future revenue may first be used for provider costs, operations, taxes, compliance, development, marketing, reserves, expansion, and other company requirements before any distributable profit is considered. The future value of a 1% position may increase or decrease depending on business performance, assets, revenue, market conditions, fundraising, valuation, and legal structure. No specific future value or return is guaranteed. A share position carries no voting rights and has zero effect on company decisions.

External investment & growth

Dutch Inc Platforms may participate in competitions, partnerships, accelerators, fundraising rounds, strategic investments, or other growth opportunities. New investment may be offered under different terms and valuations, and may affect existing positions where legally applicable.

Formalizing an investment

For every completed investment, Dutch Inc Platforms and the investor prepare a separate written investment agreement identifying the investor, amount invested, applicable product or allocation, agreed percentage or economic interest, date, signatures, and other required terms. The agreement must be signed by the relevant parties and by TemitOfficial, a printed copy is retained by the company and/or relevant parties, and the investment is recognized according to the executed agreement and applicable law. A document not signed by TemitOfficial is not considered at all.
